Terms of Service

1. Who you are contracting with

ComplianceCheq is operated by Estuary Bridging the Divide ("we", "us", "our"). By accessing or using ComplianceCheq you agree to these Terms of Service. If you are using ComplianceCheq on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. The service

ComplianceCheq provides automated accessibility scanning, snapshot reporting, remediation guidance, and related tooling intended to help subscribers monitor their digital properties against the Web Content Accessibility Guidelines (WCAG). Output is provided for informational purposes and does not constitute legal advice.

3. Acceptance and account

By creating an account or continuing to use the service, you accept these terms. You must provide accurate registration information, keep your credentials confidential, and are responsible for all activity under your account.

4. Acceptable use

You must not, and must not permit others to:

  • use ComplianceCheq for any unlawful, fraudulent, or abusive purpose;
  • infringe the intellectual property, privacy, or other rights of any third party;
  • upload malware, probe, scan, scrape, reverse engineer, or otherwise interfere with the security or operation of the service;
  • resell, sublicense, or redistribute the service or its outputs except as expressly permitted;
  • circumvent technical limits or usage quotas, including per-plan scan limits.

5. License and intellectual property

Estuary Bridging the Divide and its licensors retain all right, title, and interest in and to ComplianceCheq, including all software, reports, documentation, and branding. Subject to your compliance with these terms, we grant you a limited, non-exclusive, non-transferable right to access and use ComplianceCheq within the limits of your subscribed plan.

You retain ownership of the URLs, content, and materials you submit. You grant us a limited license to host, process, and analyze that content solely to provide and improve the service.

6. Subscriptions, billing, and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Paid plans are billed on a recurring basis (monthly or annual) at the price displayed on our pricing page at the time of purchase. Subscriptions renew automatically at the end of each billing period unless cancelled. Applicable taxes are calculated and collected by Paddle.

Payment, billing, tax, invoicing, cancellation, and refund mechanics are governed by Paddle's Checkout Buyer Terms, available at paddle.com/legal/checkout-buyer-terms. Our refund policy is set out at /refund.

You may cancel a subscription at any time through your account settings or via Paddle's customer portal at paddle.net. Cancellation takes effect at the end of the then-current billing period; you retain access to paid features until that date.

7. Service level and warranties

We provide ComplianceCheq on an "as is" and "as available" basis. We do not warrant that the service will be uninterrupted, error-free, or that scan results will identify every accessibility issue present on a digital property. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the service is limited to the fees you paid to Paddle for ComplianceCheq in the twelve (12) months preceding the event giving rise to the claim. We exclude liability for indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or goodwill. Nothing in these terms limits liability for fraud, death, or personal injury caused by our negligence where such limitation is prohibited by law.

9. Indemnity

You agree to indemnify and hold Estuary Bridging the Divide harmless from any claim, demand, loss, or expense arising out of your content, your unlawful use of the service, or your breach of these terms.

10. Suspension and termination

We may suspend or terminate your access to ComplianceCheq if:

  • you materially breach these terms;
  • a payment fails and is not cured during Paddle's dunning window;
  • we reasonably believe your use poses a security, legal, or fraud risk; or
  • you repeatedly or seriously violate our acceptable-use rules.

On termination your right to use the service ends. You may export your data for thirty (30) days following termination, after which we may delete or anonymize it.

11. Changes to the service or terms

We may modify the service or these terms from time to time. Material changes will be notified by email or via the application. Continued use after the effective date of a change constitutes acceptance.

12. Governing law and disputes

These terms are governed by the laws of the jurisdiction in which Estuary Bridging the Divide is established, without regard to conflict-of-law principles. The courts of that jurisdiction have exclusive jurisdiction over any dispute, subject to any mandatory consumer protections that apply in your place of residence.

13. Assignment and force majeure

You may not assign these terms without our prior written consent. We may assign these terms in connection with a merger, acquisition, or sale of assets. Neither party is liable for failures caused by events beyond its reasonable control.
